Our LLC Conversion Packages also cover four common scenarios where LLC documentation needs to be revised to accomplish business goals:
- LLC Domestication: Moving an Out-of-State LLC. You can bring your LLC with you when you move to a new state through a process called LLC domestication. LLC domestication allows you to keep the same business operations while changing the law that applies to the LLC. Most people domesticate LLC to avoid the expense and hassle of maintaining the LLC in multiple states.
- Converting a Traditional LLC to Series LLC. If you formed your LLC as a traditional LLC but now want to take advantage of the more flexible and cost-efficient Texas series LLC structure, your certificate of formation and operating agreement must be revised to convert the LLC to a series LLC.
- Converting an LLC to a Corporation. Although it is better for most LLCs to avoid double taxation by choosing a pass-through tax classification, high-growth startups seeking outside investment may be required to convert their LLC to a corporation.
- Converting a Member-Managed LLC to Manager-Managed LLC. If you formed your LLC as a member-managed LLC and now want to take advantage of the enhanced protections of the manager-managed structure, your certificate of formation and operating agreement must be amended to address the new management structure.
The fees quoted below include all legal work required for most standard LLC conversion projects. Special circumstances may require additional costs (which would be discussed in advance of work under our pricing policy). The fees below do not include Secretary of State filing fees.
Frequently Asked Questions About LLC Packages
Below are some common questions about LLC packages. Feel free to send us a message if you have questions that are not answered here.
What costs can I expect to pay in addition to the amounts quoted above?
We understand that clients want predictability in pricing and have embodied that in our Pricing Policy. The only additional cost is the filing fee that is paid to the Secretary of State (which will be required regardless). If you would like us to handle certain tax elections to opt out of the default tax classification, we can also handle that for an additional fee.
How long does it take to get my LLC set up?
In most cases, we can have the LLC set up and ready to operate within a week. If there is more than one owner, additional time is sometimes needed to address legal issues between the owners. If there is a need to expedite the formation, just let us know and we will try to accommodate your request. We can even do same-day formations in urgent circumstances (additional fees may apply).
I need help with items that don’t fit neatly into these packages. Can you help with that?
Our LLC packages are designed to meet the needs of 80 percent of most business owners, but we recognize that LLC formation is not a one-size-fits-all solution. Additional services may be required for some clients, and others may not need all of the services mentioned above. Just let us know if you need additional services or would like us to omit certain documents. Please note, however, that there is usually no fee reduction for omitted documents.
Can you help me make the subchapter S election to be taxed as an S corporation?
Yes, for an additional fee of $75, we can assist with filing the Form 2553 and preparing any additional documentation needed to elect to be treated as a subchapter S corporation.
Do I need an attorney to form an LLC?
We know that you have options for forming an LLC, including online filing services and various other non-attorney providers. We also know that it sounds self-serving to say that you should use our services instead of those other options. But we truly believe that the services offered by online providers are sub-par and should not be used if your goal is truly to provide legal protection and operational efficiency. The online filing services only file your form with the state–something that you could do yourself, as explained in our article on LLC formation scams. They do not provide solutions that effectively accomplish your reasons for setting up the LLC to begin with.
We provide the most important thing that online filing services do not: Legal advice and guidance to help ensure that your LLC accomplishes your legal and business goals. We believe that our legal understanding and attention to detail, coupled with competitive and transparent pricing, make us the right choice for your LLC formation needs.
Can I handle this remotely without having to come to your physical office?
Yes. We have prepared hundreds of legal documents for out-of-state matters and are well-versed in communicating effectively by phone, e-mail, and videoconference.
